Macbook freezes – is it my hard drive or logic board?

my macbook froze on night. restarted it, then 2 mins later i got the kernal panic (restart warning in 6 languages) i tried re-intsalling osx but the same thing happends during install. i tried doing it a few times, but the same thing happends. i checked the RAM with another mac and same thing happends. is my hard drive finished or logic board? is this computer at the end of its life?
it is not under warrenty
apple told me its a problem with the motherboard. if so, its a shame cuz everything else is in perfect condition
